Welcome to DE-PLATFORM Lounge. These Terms of Service ("Terms") constitute a legally binding agreement between you and DE-PLATFORM Lounge governing your access to and use of our website, reservation platform, and related services (collectively, the "Services"). By creating an account or making a reservation, you agree to be bound by these Terms. If you do not agree, please do not use the Services.

1. Eligibility

You must be at least 18 years old to create an account or make a reservation. By registering, you represent that all information you provide is accurate, current, and complete, and that you will keep it updated.

2. Your Account

• You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
• You agree to notify us immediately of any unauthorized use of your account.
• We reserve the right to suspend or terminate accounts that provide false information, abuse the platform, or violate these Terms.

3. Reservations & Bookings

• All reservations (VIP booths, mini-hall events, and special requests) are subject to availability and confirmation.
• A reservation is confirmed only when it appears in your dashboard with an "Accepted" status.
• Please arrive at your reserved time. Reservations are held for a reasonable grace period; booths may be released to other guests if you do not arrive or contact us within a reasonable time.
• You are responsible for the conduct of all guests in your party and for any damage caused by your party to lounge property.

4. Payments & Cancellations

• Where online payment is required, payments are processed securely through Paystack. We do not store your card details.
• "Pay on arrival" reservations must be settled at the lounge before or upon use of the reserved facility.
• Cancellations or rescheduling requests should be made as early as possible via phone or WhatsApp. Confirmed refunds (where applicable) are processed to the original payment method within 5–10 business days.
• No-shows for paid bookings may result in forfeiture of the booking fee at our discretion.

5. Acceptable Use

You agree NOT to:

• Use the Services for any unlawful, fraudulent, or misleading purpose.
• Create multiple accounts or false bookings to manipulate seat availability.
• Attempt to gain unauthorized access to the platform, other users' accounts, or our systems.
• Interfere with or disrupt the integrity or performance of the Services.

6. Intellectual Property

All content on this website — including text, graphics, logos, images, and software — is the property of DE-PLATFORM Lounge or its licensors and is protected by Nigerian and international intellectual property laws. You may not reproduce, distribute, or create derivative works without our prior written consent.

7. House Rules & Conduct

All guests remain subject to the lounge's house rules and the laws of Nigeria at all times while on the premises. We reserve the right to refuse service or entry to any person who is intoxicated, disorderly, or in violation of house rules. The legal drinking age (18+) is strictly enforced.

8. Disclaimers

The Services are provided "as is" and "as available". While we work hard to keep the platform accurate and available, we do not warrant that the Services will be uninterrupted, error-free, or that seat availability shown is always free of delay. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability

To the maximum extent permitted by law, DE-PLATFORM Lounge shall not be liable for any indirect, incidental, special, or consequential damages — including lost profits, lost data, or loss of goodwill — arising from your use of the Services. Our total liability for any claim arising from these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or ₦50,000, whichever is greater.

10. Indemnification

You agree to indemnify and hold harmless DE-PLATFORM Lounge, its staff, and partners from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Services, your breach of these Terms, or your violation of any law or the rights of a third party.

11. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising from these Terms or the Services shall be resolved amicably in the first instance, and failing that, submitted to the courts of competent jurisdiction in Ondo State, Nigeria.

12. Changes to These Terms

We may revise these Terms at any time. The updated version will be posted on this page with a revised date. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
